Marketplace Facilitator Model
Gudnet provides the verified discovery catalog, escrow payments, and customer protection. When buying from an independent seller, your sale contract is with that verified merchant.
Unified Cart & Split Fulfillment
Add items from multiple independent stores into one cart and pay once. Behind the scenes, each vendor independently packs and dispatches their items directly to your address.
Platform-Controlled Escrow
Your payment is held safely by Gudnet in platform escrow. Vendor earnings are kept in pending status and are only settled after your order is successfully delivered and verified.
Transparent Return Hierarchy
Returns adhere to a transparent hierarchy: Platform Global Policy → Vendor Store Policy → Product Override. Super Admin retains final dispute authority to protect shoppers.
Marketplace Role & Legal Parties
Summary: Defines the legal relationship between you (the Shopper), Gudnet (the Marketplace Operator), and independent Merchants (the Suppliers).
These Terms and Conditions ('Terms') constitute a legally binding agreement between you ('Customer', 'Buyer', or 'Shopper') and Gudnet Computers Pvt. Ltd. ('Gudnet', 'Platform', 'we', 'us'), operating the Gudnet marketplace platform at http://localhost:3000.
Gudnet operates as a multi-vendor digital marketplace facilitator. Our platform allows independent commercial merchants and suppliers ('Vendors' or 'Sellers') to open branded digital storefronts, list physical goods, and fulfill orders directly to customers worldwide.
When purchasing products marked 'Sold by [Vendor Name]', the contract of sale is concluded directly between you and the respective Vendor. Gudnet acts as a commercial agent facilitating catalog discovery, checkout processing, payment settlement, and platform dispute resolution. Products explicitly designated as 'Gudnet · Marketplace' are sold directly by Gudnet.

Account Registration, Eligibility & Security
Summary: Requirements for registering, securing, and maintaining a customer or vendor account.
To purchase products, create wishlists, or manage order histories, you may register a customer account or check out using verified credentials.
- Age Eligibility: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to create an account, purchase products, or execute financial transactions.
- Accuracy of Information: You agree to provide accurate, current, and complete information during registration, including your real legal name, active email address, phone number, and physical shipping address.
- Credential Security: You are solely responsible for maintaining the confidentiality of your sign-in credentials. Gudnet uses bcrypt hashing (cost factor 12) to secure your password on our servers. You must immediately notify us at security@gudnet.in if you suspect unauthorized access.
- Account Lockout Protocol: To protect your identity from automated credential stuffing attacks, accounts are temporarily locked for 15 minutes following 8 consecutive failed password attempts.
- Single Person Account: You may not maintain duplicate accounts to abuse promotional discount codes, referral bonuses, or free gifts.
Marketplace Catalog, Pricing & Split Order Architecture
Summary: How prices are set, inventory is managed, and unified multi-vendor carts are processed.
Our marketplace features a unified cart experience engineered for seamless multi-merchant commerce:
A. Independent Pricing & Inventory
Independent vendors set their own catalog prices, promotional discounts, and inventory counts. While Gudnet moderates listings for policy compliance, the seller is legally responsible for listing accuracy.
In the rare event of a manifest typographical pricing error (e.g. an item mistakenly listed at a fraction of its legitimate market value due to technical glitch), Gudnet and the respective seller reserve the right to cancel the affected order prior to dispatch and issue a full immediate refund.
B. Unified Checkout & Order Splitting
You can place a single order containing products from multiple independent suppliers in one transaction. Behind the scenes, the marketplace system automatically splits your order into dedicated sub-orders for each seller:
- Each seller receives only their relevant line items and packaging instructions.
- Items from different sellers will ship in separate packages and may arrive at different times via different regional carriers.
- You receive individual parcel tracking numbers for each vendor consignment.
Payments, Platform Escrow & Vendor Settlement
Summary: How payments are processed securely and held in platform escrow until orders are fulfilled.
To protect both buyers and sellers from commercial fraud, Gudnet employs a platform-controlled settlement flow:
- Centralized Payment Capture: When you complete checkout, your payment is processed directly by Gudnet via authorized PCI-DSS Level 1 payment gateways. You will not be billed separately by individual third-party sellers.
- Pending Balance & Vendor Escrow: Vendor funds enter a 'pending balance' upon customer checkout. The platform holds these funds in commercial escrow and does not release settlements immediately.
- Delayed Settlement: Vendor earnings are transitioned to eligible available balance only after confirmed delivery and following the expiration of the mandatory customer return/inspection period.
- Ledger-Driven Integrity: All payouts, platform commissions, discounts, and return refunds are recorded in an auditable double-entry ledger. If a return or chargeback occurs after settlement, Gudnet creates an automatic negative ledger adjustment against the vendor's reserve balance.
Consumer Payment Safety Guarantee
Because your funds are held centrally by Gudnet rather than paid directly to individual merchants, your money is protected if a merchant fails to dispatch goods or breaches quality standards.
Chat Ordering Terms (WhatsApp / Telegram)
Summary: Specific provisions governing direct chat-assisted ordering and local Cash on Delivery.
Certain suppliers offer localized chat ordering via WhatsApp or Telegram for selected product lines. The following additional terms apply to all chat-initiated transactions:
- Service Area Verification: Chat ordering is available exclusively within specific cities and postal PIN codes configured by the supplier. You must accurately enter your delivery PIN code to verify service coverage before initiating chat orders.
- Cash on Delivery (COD): Unless expressly agreed otherwise with the merchant, chat orders are fulfilled on a Cash on Delivery basis. You agree to inspect the parcel seal upon delivery and pay the exact order amount in local currency to the delivery courier.
- Price Honoring: The price displayed on the Gudnet product page at the time of PIN verification is the reference price. Suppliers are forbidden from arbitrarily inflating prices or adding unauthorized surcharges during chat conversations.
- Safety Warning: Never share payment card numbers, one-time passwords (OTPs), or sensitive banking credentials within chat applications. Gudnet is not liable for unauthorized peer-to-peer wire transfers sent directly to third parties outside our certified platform gateway.
Shipping, International Delivery & Customs Duties
Summary: Rules regarding domestic and cross-border transport, carrier handoffs, and import tariffs.
Gudnet connects buyers and suppliers worldwide. Delivery times and shipping logistics depend on the merchant's location and the destination address:
- Dispatch Deadlines: Suppliers are contractually required to dispatch in-stock goods within 2 business days of order confirmation and provide valid carrier tracking identifiers.
- Cross-Border Shipments & Customs: When ordering products shipped internationally across customs borders, you are the importer of record and must comply with all import regulations of the destination country.
- Import Duties, VAT & Tariffs: Unless explicitly indicated as 'Delivered Duty Paid' (DDP) at checkout, international shipments may be subject to import customs duties, value-added taxes, and clearance fees levied by the destination jurisdiction. These charges are the sole responsibility of the recipient.
- Undeliverable Shipments: If a package cannot be delivered due to an inaccurate address provided by the customer, or if the recipient refuses to pay legitimate customs duties, return freight costs may be deducted from any eligible refund.
Cancellations, Returns, Refunds & Policy Hierarchy

Gudnet enforces a transparent multi-tiered return policy designed to balance customer satisfaction with merchant fairness:
A. Documented Policy Hierarchy
In our multi-vendor architecture, return terms follow a strict precedence rule:
1. Platform Global Policy (the default baseline across the marketplace) →
2. Vendor Storefront Policy Override (can provide more generous terms, but cannot fall below statutory minimums) →
3. Product Specific Override (applies to designated items such as customized goods or final sale items).
In all cases, Super Admin retains the final override and arbitration authority in the event of an unresolved dispute between buyer and seller.
B. Standard Return Windows & Eligibility
- 14-Day Right of Return: Eligible non-perishable goods may be returned within 14 calendar days of confirmed delivery, provided they are unused, undamaged, and in original packaging with intact security tags.
- Defective or Damaged on Arrival: If an item arrives damaged, defective, or materially different from the seller's listing, you must report it within 48 hours of delivery with photographic evidence for an expedited replacement or full refund.
- Non-Returnable Items: For hygiene and safety reasons, returns are not accepted for opened personal health/beauty items, intimate apparel, customized/personalized products, downloadable digital goods, or perishable foodstuffs.
C. Refund Processing & Timelines
Once the returned item is received and inspected by the supplier (or at a Gudnet central fulfillment hub), eligible refunds are approved within 3 business days. Approved refunds are credited directly back to the original payment method used during checkout within 5–7 banking days.
Supplier Conduct & Zero-Tolerance Counterfeit Policy
Summary: Our rigorous standards for independent sellers and zero-tolerance policy against fake goods.
Gudnet is built upon trust, craftsmanship, and consumer safety. All marketplace vendors are bound by stringent commercial standards:
- Zero-Tolerance for Counterfeits: The sale of counterfeit, pirated, replicated, or unauthorized grey-market goods is strictly prohibited. Every product listed must be authentic, legally sourced, and compliant with regional consumer safety standards.
- Immediate Sanctions: Any vendor found listing counterfeit goods will face immediate listing removal, permanent store suspension, forfeiture of pending balance reserves, and potential referral to national law enforcement and intellectual property authorities.
- Authenticity Guarantee for Buyers: If you receive an item confirmed to be counterfeit, Gudnet will issue an immediate 100% refund (including original shipping costs) from our Buyer Protection Fund.
Reporting Suspected Violations
If you believe an item listed on Gudnet infringes intellectual property or is counterfeit, please submit an immediate notice to legal@gudnet.in with catalog links and documentation.
Intellectual Property Rights & Notice-and-Takedown

All content, user interfaces, branding, software code, databases, design tokens, and trademarks associated with Gudnet are the proprietary property of Gudnet Computers Pvt. Ltd. and protected by international copyright and trademark conventions.
Vendors grant Gudnet a worldwide, non-exclusive, royalty-free license to display, host, and index their product imagery, descriptions, and brand marks solely for marketing and operating marketplace listings.
We respect the intellectual property of creators. If you are a copyright owner or authorized agent and believe material on our site infringes your rights, send a written DMCA / Copyright Notice containing: (a) physical or electronic signature; (b) description of the copyrighted work; (c) URL of the infringing listing; (d) your contact details; and (e) a good-faith statement of lack of authorization.
Acceptable Use & Prohibited Conduct

When accessing the marketplace or interacting with other users, you agree NOT to:
- Deploy automated web scrapers, bots, crawlers, or data harvesting scripts against catalog APIs or seller inventories without express written authorization.
- Inject malicious code, viruses, trojans, or attempt unauthorized penetration testing against our servers.
- Engage in shill bidding, fake reviews, or competitor review defamation.
- Harass, threaten, or abuse customer service agents, delivery couriers, or independent sellers.
- Attempt to bypass platform checkout or solicit transactions off-platform to evade marketplace commissions or safety escrow.
Disclaimers & Limitation of Liability
Summary: Statutory limitations on damages, warranty disclaimers, and consumer law preservation.
The marketplace platform, discovery services, and associated APIs are provided on an 'as is' and 'as available' basis. To the maximum extent permitted by applicable law, Gudnet disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement regarding third-party supplier listings.
In no event shall Gudnet Computers Pvt. Ltd., its directors, employees, or affiliates be liable for indirect, incidental, punitive, special, or consequential damages arising out of the use of our services or products purchased from independent merchants.
Our aggregate liability for any direct claim arising out of a marketplace transaction shall not exceed the total purchase price paid by the customer for the specific order giving rise to the claim.
Nothing in these Terms excludes or limits liability for gross negligence, willful misconduct, death, personal injury caused by negligence, or mandatory consumer statutory protections that cannot be waived under local jurisdiction laws.
Governing Law, Arbitration & Dispute Resolution

We are committed to resolving consumer grievances amicably and fairly:
- Initial Platform Mediation: In the event of any grievance regarding an order, delivery delay, or product condition, you agree to first submit a dispute ticket through your Gudnet account or contact support@gudnet.in. Our Super Admin mediation team will review order records, delivery signatures, and vendor correspondence to reach an equitable resolution within 7 business days.
- Governing Law: These Terms and any contractual disputes shall be governed by and construed in accordance with the substantive laws of India, without regard to conflict of law principles. For international transactions, the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
- Arbitration: Any dispute not resolved through platform mediation shall be referred to and finally resolved by binding arbitration administered under the Indian Arbitration and Conciliation Act, 1996, with proceedings conducted in Mumbai, India in the English language.
- Statutory Consumer Preservation: If you are an individual consumer residing in the European Union or United Kingdom, nothing in this clause deprives you of the protection afforded by mandatory consumer protection regulations of your country of habitual residence.
Amendments & Severability
